EMTA juhendab, et ettevõtte või selle osa üleandmine võlaõigusseaduse tähenduses ei tekita käivet ning sisendkäibemaksu ei pea üleantud põhivaralt ümber arvutama. Töölepingu seaduse järgi lähevad töölepingud ettevõtte üleminekul omandajale muutmata üle, kui jätkatakse sama või sarnast majandustegevust.

A ettevõtte müügileping must start with the local legal shape, not with a title borrowed from another market. In Eesti, the same commercial goal can be an asset transfer, share transfer, registry request, owner exit, broker mandate or governance document.

The template therefore asks for entity form, äriregister, authority, price, assets, liabilities, employees, approvals, official evidence and closing records before it renders the document.

The document should be checked against põhikiri, existing shareholder or owner agreements, lender consents, leases, licences and sector rules before signing.

Töötajad, maks ja register

Töölepingu seaduse järgi lähevad töölepingud ettevõtte üleminekul omandajale muutmata üle, kui jätkatakse sama või sarnast majandustegevust.

Use schedules for assets, debts, contracts, employee matters, IP, data, real estate, accounts, passwords, notices and official filings so the signature package can be audited later.

Hind, väärtus ja makse

Included assets, excluded assets and assumed liabilities must be listed separately. Price in euro, tax treatment, consents, registry updates and handover evidence should be closing conditions, not later reminders.

Payment mechanics should name price, currency, due date, escrow, holdback, seller loan, instalments, late interest, security and tax allocation where relevant.

A broad release should preserve fraud, unpaid price, tax, confidentiality, IP, hidden liabilities, missing documents and registry obligations that still need to be completed.

Kuidas malli täita

Choose the local document. Use the local term, entity form and äriregister details before editing clauses.
Identify parties and authority. Add legal names, registration numbers, representatives, põhikiri and powers.
Complete the economics. Add price, valuation, fee, assets, liabilities, interest, dates, currency and payment method in euro.
Prepare schedules. Attach register extracts, resolutions, shareholder lists, employee lists, licences, valuations, powers and closing deliverables.
Review local compliance. Check tax, employees, registry, brokerage, share-transfer and governance points for Eesti.
Sign and archive. Keep the signed document, annexes, proof of delivery, official documents, receipts and later amendments in one file.

Is this ettevõtte müügileping a translation of the US form?

No. It belongs to the same template family, but the terms, checklist and document logic are localized for Eesti.

Can I use it without a lawyer or notary?

Use it as a drafting aid or request letter. Share transfers, registry filings, real estate, employees, tax and regulated sectors may require a lawyer, notary, accountant, broker or official register.

Which documents should be attached?

Does the certificate request create an official certificate?

No. It only asks äriregister or another official source for the document. The official extract must come from the competent source.

What is the difference between buy-sell and buyout?

Buy-sell sets future exit triggers. Buyout documents a specific exit that is already happening.

Why is there a separate buyer-broker page?

The buyer shares budget, financing and search strategy. The agreement limits the role, fee, authority and conflicts of the ostja maakler või kinnisvaravahendaja.

Can this handle cross-border deals?

Only as a starting point. Cross-border owners, assets, employees, tax residence or property require separate review in every affected country.

Does this guarantee compliance?
