Delaware LLC Operating Agreement Template

Updated on October 1, 2026

A Delaware LLC operating agreement governs the internal affairs of a Delaware limited liability company. The Jotform source is a generic member-managed agreement with Delaware labels. It omits many Delaware-specific drafting choices: manager-managed governance, series or protected series, fiduciary-duty modification, information rights, transfer of economic interests, charging orders, buy-sell mechanics, tax representative, deadlock, and detailed withdrawal or buyout procedures.

This B2 page is a region variant of the existing `llc-operating-agreement` family, not a new country rollout. It is designed for a Delaware LLC with members who want a clearer starting agreement and a guide to the issues that need legal review. It does not file a certificate of formation, act as registered agent, provide tax advice, or claim to fit venture-backed, fund, regulated, single-member or series structures without adaptation.

Delaware gives flexibility, so the agreement must choose

The Delaware LLC Act lets the members set many internal rules by agreement. That flexibility is powerful, but it means silence can be risky. The operating agreement should choose management structure, voting thresholds, capital rules, distributions, tax allocations, information rights, transfers, withdrawal, deadlock and dissolution.

The Jotform form hard-codes member management and leaves buyout terms to later agreement. This master includes a management toggle and specific schedules so users can make choices before a dispute arises.

Management needs more than a majority vote line

Delaware section 18-402 provides default management rules unless the LLC agreement says otherwise. A real agreement should say whether the company is member-managed or manager-managed, who can bind the company, which actions require ordinary approval and which require a higher threshold.

The document includes reserved matters for admission of members, major assets, debt, merger, dissolution, amendments, affiliate transactions and tax elections. Those thresholds should be tailored to the business.

Transfers separate economics from membership rights

An assignment of an LLC interest may transfer economics without making the transferee a full member unless the agreement and statute allow admission. The template separates economic transfers, permitted transfers, admission of substitute members and company buyout rights.

This protects the company from accidentally admitting an ex-spouse, creditor, competitor or estate representative with management rights. It also gives the members a process for consent, valuation and closing.

Fiduciary and exculpation terms need Delaware-specific review

Delaware LLC agreements often address duties, exculpation and indemnification. These provisions should be deliberate. A generic clause saying members act in good faith is not enough for a sophisticated Delaware LLC, and a sweeping waiver may be inappropriate or unenforceable depending on facts.

The template includes bracketed policy choices and directs users to counsel rather than pretending all Delaware LLCs should use the same fiduciary language.

Tax and beneficial ownership are operational issues

An operating agreement should state intended tax classification, partnership representative or tax matters role, books and records, fiscal year and distribution policy. Delaware formation also sits alongside federal, state and beneficial ownership reporting duties that may change.

This page avoids giving a one-size-fits-all tax answer. It records the intended tax treatment and responsible person, then tells users to verify elections, reports and filings with advisers.

US compliance checklist

Use this as a Delaware LLC operating agreement starting point. It does not form the LLC, replace registered-agent services, file reports, provide tax advice or resolve securities, employment, licensing or beneficial-ownership duties.

  • Use Delaware LLC Act definitions correctly

Delaware defines an LLC agreement broadly and allows written, oral or implied agreements, but a written agreement is best for evidence and governance.

Delaware Limited Liability Company Act, title 6 chapter 18
  • Choose management structure deliberately

Unless the LLC agreement provides otherwise, management defaults under Delaware law; manager-managed companies need express terms.

Delaware LLC Act management provision, section 18-402
  • Address fiduciary-duty choices with counsel

Delaware LLC agreements can modify many internal duties, but the wording is high-stakes and should not be copied casually.

  • Do not leave buyout terms for later

Withdrawal, death, disability, deadlock and transfer events should have valuation and closing mechanics.

  • Check tax and reporting obligations

Tax classification, partnership representative, state registrations and beneficial ownership reporting may require separate filings.

Frequently asked questions

Is this a new family?

No. It is a Delaware region variant of the existing LLC operating agreement family, so it should not trigger a 39-country rollout.

Does Delaware require a written operating agreement?

Delaware recognizes LLC agreements broadly, but a written agreement is strongly preferred to prove governance, economics and authority.

Can it be manager-managed?

Yes. The document should expressly say so and name managers, powers, limits and appointment or removal rules.

Does it file the LLC?

No. Formation requires filing a certificate of formation and maintaining a registered agent. This agreement governs internal affairs.

Can members waive fiduciary duties?

Delaware LLC agreements can modify many duties, but this is a high-risk drafting area that should be reviewed by counsel.

Is this suitable for a single-member LLC?

It can be adapted, but a single-member LLC usually needs simpler economics and careful separateness, tax and authority terms.
