Worker classification, tax reporting and regulated activity must be checked under applicable law.
7. Termination and survival
Either party may terminate for convenience on days written notice. Either party may terminate for material breach if the breach is not cured within days after written notice. Payment, confidentiality, IP, liability, dispute and provisions intended to survive remain effective after termination.
8. Governing law and e-signatures

A useful business contract starts with the statement of work
The Jotform document has many standard legal headings, but it still leaves the core commercial deal too open: products, services, deliverables and activities are described in a blank box, with no acceptance standard or change-control process. A business contract that cannot answer what must be delivered, when it is accepted and how changes are priced will not survive its first project dispute.
This template therefore treats the statement of work as the center of the document. The legal clauses support that schedule: payment follows acceptance or milestones, expenses need approval, changes need written authorization, and IP rights depend on what deliverables are being created.
Payment, tax and worker status are operational terms
A US business contract should not just say payment is due in a number of days. It should say when the invoice may be issued, what documents support it, whether taxes are included, how disputed amounts are handled and whether payments are reportable. IRS guidance for payments after 2025 raises the general 1099 reporting threshold for certain payments to $2,000, but tax reporting still depends on the payee, payment type and current IRS instructions.
If the supplier is an individual service provider, worker classification is a separate risk. The IRS says classification depends on behavioral control, financial control and the relationship of the parties, not merely the label in the contract. This template includes an independent-contractor statement, but it does not pretend that labels decide tax or employment law.
Goods, services and mixed deals need different defaults
A contract for goods may implicate UCC Article 2, including the statute of frauds for sales of goods priced at $500 or more. A services contract usually turns more on scope, standard of performance, acceptance and remedies. A mixed contract needs careful drafting so warranties, delivery, rejection and payment line up with the dominant part of the deal.
The template gives the user a transaction-type selector and avoids hard-coded rules that belong only to goods or only to services. It also includes a change-control clause because most business contracts fail when the parties add work informally and argue later about whether it was included.
Electronic signatures are valid, but records still matter
The E-SIGN Act prevents many contracts and signatures in interstate or foreign commerce from being denied legal effect solely because they are electronic, but it does not erase substantive legal requirements or force parties to use electronic records. The contract should still preserve notices, authority, attachments and signed versions.
This template therefore includes counterpart and electronic-signature language while keeping written notices, attachments and approval records. Frequently asked questions
How is this different from the bilateral contract page?

Can I use this for any business deal?
Use it for ordinary commercial goods, services or project deals, then add sector-specific terms where needed. It is not enough by itself for regulated healthcare, securities, insurance, freight, employment, consumer finance or government contracts.
Does the contract make someone an independent contractor?
No. It can state the intended independent relationship, but worker classification depends on facts such as control and economic relationship. IRS guidance says the label alone is not decisive.
Who owns the work product?
Only what the IP clause says. This template lets parties separate pre-existing materials, new deliverables and licenses. Do not assume payment automatically transfers every IP right.
Are electronic signatures valid?
Often yes under the E-SIGN Act and state law, but the parties still need authority to sign and must keep records. Some documents and consumer disclosures have extra rules.
What is change control?
Change control is the process for approving extra work, changed specifications, delays, substitutions or additional fees in writing before the supplier performs unpriced work.
Should I attach a purchase order?
Yes, if it controls price, quantities, delivery or invoicing. The contract should say whether the PO overrides the contract, is subordinate to it, or only supplies administrative details.
