Channel Partner Agreement Template (US)

Updated on September 25, 2026

A channel partner agreement should answer a threshold question before it talks about commissions: what kind of partner is this? Referral partner, reseller, distributor, systems integrator, implementation partner and marketing affiliate are not the same. The Jotform source includes appointment, territory, compensation, IP, confidentiality, termination and compliance, but it does not draw the lines that prevent accidental agency, franchise, brokerage or exclusive-distributor problems.

This US master frames the relationship as a commercial channel arrangement with optional deal registration, lead ownership, compensation, trademark use, data handling, anti-bribery, export/sanctions, customer promises, support responsibility, audit rights and post-termination pipeline treatment. It cross-links adjacent agency, broker and affiliate families instead of merging them.

Define the channel role

A referral partner may introduce leads but never quote or bind the company. A reseller may buy and resell. A distributor may hold inventory. A services partner may implement or support the product. The agreement should choose the role and then match authority, compensation and customer obligations to that role.

This template makes the partner non-exclusive by default and says the partner cannot bind the company unless written authority says otherwise. That is a deliberate firewall from agency and brokerage templates.

Use deal registration and lead rules

Channel conflicts often come from unclear lead ownership. If the partner sources a customer but the company already had the lead, who gets commission? If two partners register the same deal, whose registration wins? If a customer renews later, does the partner get paid?

The master includes a deal-registration clause and pipeline treatment after termination. Users can adapt it for first-source, last-touch, company-approved registration or renewal-only models.

Control customer promises

A partner can damage the company by overpromising performance, discounts, warranties, implementation timelines, security features or regulatory compliance. The agreement should restrict unauthorized promises and require use of approved materials.

Trademark use is similar. The partner may need logos and marketing collateral, but the license should be limited, revocable and tied to brand guidelines.

Build compliance into the channel

Channel partners can create anti-bribery, sanctions, export-control, privacy and competition-law risk. The DOJ FCPA resource guide, BIS export compliance materials and OFAC compliance framework all point toward risk-based screening, controls, training and records. This template does not decide whether those regimes apply; it gives the contract hooks to require compliance.

If the partner sells into government, health, education, financial, cross-border or high-risk markets, add deal-level review and approval before quotes or delivery.

Avoid accidental franchise terms

A channel program that charges fees, gives trademark rights and imposes significant control can raise franchise-law questions. The FTC Franchise Rule is a warning sign for US programs, especially when partner onboarding fees, required purchases or mandatory marketing spend are involved.

This template tells users to check franchise rules before charging upfront partner fees or controlling the partner like an outlet of the company.

US channel partner checklist

Channel risk depends on market, product and partner role. Use these source anchors before signing.

  • Check franchise-risk triggers

The FTC Franchise Rule is relevant when a program uses trademark rights, control/assistance and required payments. Get advice before charging partner fees or running a controlled branded network.

  • Add anti-bribery controls

The DOJ FCPA resource guide emphasizes third-party risk, gifts, travel, government touchpoints and compliance controls for anti-bribery programs.

  • Screen export-control issues

BIS export compliance programs use risk assessment, screening and controls for exports, reexports and transfers subject to the EAR.

  • Check sanctions restrictions

OFAC sanctions can apply to US persons and certain US-linked transactions. Partner screening and customer screening may be needed.

  • Define data handling

If the partner sees leads, customer data, personal data or platform credentials, add privacy, security and data-processing terms.

  • Control public claims

Partners should use approved marketing claims and avoid unauthorized compliance, performance, warranty or pricing promises.

Frequently asked questions

Is a channel partner an agent?

Not necessarily. This template makes the partner independent and without authority to bind the company unless written authority says otherwise. If the partner can bind deals, use an agency or broker structure instead.

What is deal registration?

It is a process for a partner to submit a lead or opportunity and receive protection or commission eligibility if the company approves it. It prevents later fights over who sourced the deal.

Should the agreement be exclusive?

Usually start non-exclusive unless the partner is making measurable commitments. If exclusivity is granted, include minimum performance, reporting and termination rights.

Can the partner use the company logo?

Yes, if the agreement grants a limited license and requires brand guideline compliance. The partner should stop using marks when the relationship ends.

Why mention export and sanctions?

Partners may sell cross-border or to restricted end users. Export-control and sanctions screening can be essential for software, technology, hardware, defense-adjacent products and international channels.

Can commission be paid before customer payment?

It can, but many agreements pay only after the company receives non-refundable customer payment. If refunds or chargebacks occur, the contract should explain clawbacks.

When does franchise law matter?

If the company grants trademark rights, imposes significant controls or assistance, and requires payments, franchise rules may need review before launch.
