Gibraltar equivalent and use case
The Gibraltar equivalent is not a US incorporation certificate or a foreign operating agreement. A Gibraltar company formation pack uses an application to register the company, a memorandum of association and articles of association filed with Companies House Gibraltar under the Companies Act 2014. The articles are the company rulebook for shares, directors, meetings, transfers, records and internal authority.
This page is written for Gibraltar users, Companies House practice, tax records, Department of Employment touchpoints, local cultural practice and the proof needed when using a articles of association. It does not import a US filing label where Gibraltar uses a different legal or registry mechanism.
The aim is a usable drafting pack: the person completing it should see the parties, purpose, dates, money, responsibilities, attachments, rights, personal data, record location and next filing or operational step in one place.
Gibraltar law and practical checks
Government guidance says Gibraltar companies may be limited by shares, limited by guarantee with or without share capital, or unlimited with or without share capital. Before incorporation, the proposed name must be acceptable to the Company Registrar, and the application, memorandum and articles are submitted to Companies House. The Government page also records the ordinary registration fee and states that incorporation normally takes three working days, with an urgent route available for a higher fee.
A Gibraltar document works best when it can be signed, filed, explained to a bank or counterparty, and checked later from the records. That is why this version treats attachments, notices, consents, company filings, tax records, employee records, data erasure and custody of evidence as part of the drafting exercise.
If a law, regulator or government body requires a specific form, portal, certificate or filing, this template does not replace that official step. It helps prepare the decision, schedule and evidence pack before the correct channel is used.
Decisions before you fill it in
Choose the company type first: private company limited by shares, guarantee company, unlimited company, protected cell company or another structure. The articles should not pretend one entity type is another.
Keep the memorandum, articles, company application, share information, directors, registered office and business-registration evidence consistent. A mismatch can delay incorporation or create later governance confusion.
Put private shareholder bargains, vesting, reserved matters, drag-along or tag-along mechanics in a separate shareholders agreement if they should not sit in the public constitutional filing.
Attachments and evidence trail
Attach the materials that prove the document: proposal budget, memorandum and articles, board decision, strike-off form, Companies House evidence, asset schedule, invoice, press image, rider, consent, notice, data-erasure proof or handover record.
Use the same names, dates, company number, amounts and attachment titles in the document, email, Companies House filing, tax file and internal archive. If an attachment changes after signature, record the version date and who accepted the change.
Many disputes are not about the heading of the document. They are about the missing schedule, creditor notice, rights permission, employment record, invoice, access log or proof that a recipient received the correct version.
Personal data, tax and records
These documents can include names, addresses, company numbers, employees, performers, images, contacts, customer files, device data, bank records, tax evidence and confidential business information. Limit access to people with a real role in the transaction.
Where personal data is present, write the retention period, access controls, deletion step and breach escalation. Gibraltar GDPR breach notification has to be assessed quickly where a personal-data breach creates risk.
Business records should be organised so the Income Tax Office, Companies House, a counterparty, liquidator, auditor or adviser can see what was bought, sold, assigned, paid, authorised or retained without reconstructing the file from memory.
How to complete the template
Start with the Gibraltar document type: why the articles of association is needed, who signs it, who receives it and whether an official form, notice, filing or follow-up agreement is still required.
Complete the parties, company details, dates, sterling amounts, responsibilities, rights, data, notices and attachments using the same wording as the supporting records.
Download DOCX for final edits and PDF for signature or sharing. Keep the signed PDF, editable DOCX, attachment pack, emails and filing, payment, notice or receipt evidence together.
Final quality check
Check that names, company numbers, addresses, dates, pounds sterling amounts, attachments, rights, payment terms, contacts and archive location are consistent across the whole package.
Read it as an outside recipient would: can they tell what is being proposed, incorporated, struck off, performed, published, bought, assigned, paid, retained or deleted without a phone call?
If not, add the missing attachment, definition, consent, notice, authority evidence or next-step instruction before anyone signs.
Limits
The template is not an official form, Companies House approval, tax clearance, insolvency advice, court order, audit report, licence, work permit, GDPR assessment or guarantee of a result. It does not by itself solve insolvency, regulated business, employment transfer, real estate, consumer, security, tax, cross-border or complex data issues.
Use professional help where value is high, solvency is uncertain, employees transfer, a regulator is involved, third-party consent is missing, a licence is material, data is sensitive, a public filing is required or the ownership structure is complicated.

Frequently asked questions
Is this an official Gibraltar form?
No. It is a drafting template and guide. If Companies House, the Income Tax Office, the Department of Employment, Gibraltar Cultural Services or another body requires a form or portal, use that official process separately.
Is this just a US template with Gibraltar in the title?
No. It is written around Gibraltar terminology, local sources and local proof requirements so a articles of association does not rely on the wrong filing or contract mechanism.
When should I get professional help?
Get help if the value is material, solvency is uncertain, employees transfer, a regulator is involved, a licence or consent is missing, data is sensitive or the document will be filed publicly.
Why does the template focus so much on attachments?
Because later checks usually need the schedule, form, notice, invoice, consent, image permission, tax evidence or data-erasure proof, not only the signed front page.
Can I sign electronically?
Many ordinary commercial documents can be signed electronically, but some filings, deeds, witnessed documents or official forms may need a particular format. Check the specific Gibraltar step before relying on e-signature alone.
Do I need to think about personal data?
Yes, if the document or attachment includes people: employees, artists, contacts, customers, participants, images, account users or device data.
What should be kept after signing?
Keep the signed PDF, editable DOCX, attachments, source records, emails, notices, consents, invoices, receipts, filing confirmations and version history.
Can an English-law form be used in Gibraltar?
Sometimes Gibraltar practice is close to English commercial drafting, but Companies House, tax, employment, data-protection and local filing points still need Gibraltar-specific checks.
