A board resignation letter is the notice that ends a director's appointment to a UK company. The letter itself is simple, but the follow-through is not: the company must notify Companies House within 14 days on form TM01, update its own register of directors, and remove the departing director from bank mandates and any other filing that names them — none of which happens automatically just because a letter was sent.

The widely copied free template treats resignation as ending 'all responsibilities and duties' associated with the position, which is not accurate under English law: certain duties continue after a director leaves, and liabilities already incurred are not wiped away by resigning. This template gets the mechanics right and states the continuing position honestly.

Fix the effective date and delivery

A director may resign by giving notice to the company in accordance with the articles, and the notice takes effect on the terms it states — immediately, or from a later date. This template lets the resignation take effect immediately or on a stated date, and records who it is delivered to and how, so there is no dispute later about when the office actually ended.

Do not claim the resignation ends everything

The general duty to avoid conflicts of interest under section 175 of the Companies Act 2006 continues to apply after a person ceases to be a director, as regards the exploitation of any property, information or opportunity of which they became aware while a director, and the duty not to accept benefits from third parties under section 176 similarly continues. This template says so, rather than claiming — as the free version does — that resignation ends all responsibilities.

Ask for the Companies House filing and register update

The company must notify Companies House of the termination within 14 days using form TM01, and must update its own register of directors. This template asks for written acknowledgement of receipt and confirms that the resigning director expects the filing and register update to be made — the single most useful line in the letter, because a resignation that is never filed leaves the person publicly listed as a director indefinitely.

Check the minimum number of directors

A private company limited by shares must have at least one director. A sole director resigning without arranging a successor can leave the company unable to act. This template includes a prompt to confirm the board remains quorate, and an option to make the resignation conditional on a successor's appointment taking effect.

Deal with indemnity, insurance, property and fees

This template confirms the expectation that indemnity cover under any qualifying third-party indemnity provision and directors' and officers' insurance continue for the director's period of service, including any run-off cover in place, and asks for confirmation of outstanding fees, return of board papers, and removal of system access.

How to write the board resignation letter

  1. Address it correctly. Name the company and address the letter to the person the articles designate — usually the chair or company secretary.
  2. State the resignation and roles. Say plainly that you resign as a director, and list any committee positions you also hold.
  3. Fix the effective date. Choose immediate or a stated later date, and add the successor condition if you are the sole director.
  4. Ask for the follow-through. Request written acknowledgement, the TM01 filing within 14 days, and confirmation of indemnity and insurance.
  5. Send it and keep proof. Deliver it by the method the articles allow and keep the delivery evidence.

Frequently asked questions

When does a UK board resignation take effect?

On the terms the notice states — immediately on delivery, or from a stated later date — in accordance with the company's articles. Check the articles for who the notice must be given to.

Does resigning end my responsibility for what happened while I served?

No. The duty not to exploit property, information or opportunities you learned about as a director, and the duty not to accept benefits from third parties, both continue after you leave. Liabilities already incurred are not removed by resigning either.

Does Companies House need to be told?

What if I am the only director?

Do I also stop being an employee if I also work for the company?

No. Being a director is separate from being an employee, and resigning one does not end the other. If you intend to leave both roles, say so and follow the notice each requires.
