A director can resign at any time by giving written notice to the corporation. Under the Canada Business Corporations Act (CBCA), which applies to federally incorporated companies, the resignation takes effect at the time the written resignation is sent, or at a later date stated in it, whichever is later — the corporation does not need to accept it. Filing the change with Corporations Canada is a separate step, due within 15 days.
